We hereby present some guidance to foreigners who are willing to invest in Brazil.

SETTING UP A COMPANY

The Brazilian Legal System presents with various types of corporations, such as: Corporation (S/A), Limited Liability Quota Companies (Ltda), and Simple Companies amongst others. We stand out in the opening of Limited Liability Quota Companies (Ltda) that are established according to articles of incorporation, which must bear at least two partners to whom responsibility is limited to the value of their shares.

In order to set up such company, it is necessary the participation of at least two business associates, who can be foreigners even without a permanent visa; however, the company must be conducted by a Brazilian citizen or a foreigner bearing a permanent visa.

The Law does not establish a minimum capital amount to set up and register a Limited Liability Quota Company (Ltda) , and the necessary documents are: CPF and Passport or RG (A Brazilian Citizen’s Identification Card in case the associate is Brazilian) of all business associates, and the company’s headquarters corroboration. With these documents the Articles of Incorporation will be read and signed by all partners, administrators and a legally authorized lawyer.

The Articles of Incorporation along with all other documents will be registered and filed at the Board of Trade in the state where the company is established. Later, the company will have its registration at the Federal Treasury and obtain its CNPJ – Federal Taxpayer’s Registry for Corporate Entities. The company will also have to be registered at State and City tax agencies.

The non-resident foreigner wishing to set up a company in Brazil will have to endow an administrator living in Brazil ( Either a Brazilian citizen, or a foreigner bearing a permanent visa) with a Power of attorney, which will have to be registered at a Public Notary, and also be filed along with the documents previously mentioned.
